Official Rules

1. Agreement & Overview

Please read these official rules (the “Official Rules”) carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you if you enter The Apothecarium 420 Payday Sweepstakes (the “Sweepstakes”) sponsored by TER Holding MD, Inc and its licensed subsidiaries (the “Sponsor”).

By participating in the Sweepstakes, you signify your agreement to these Official Rules and the decisions of the Sponsor and RAVEN5 Ltd. (the “Administrator”). If you do not agree to the Official Rules, you may not enter the Sweepstakes.

2. Eligibility

The Sweepstakes is open only to legal residents of the State of Maryland, twenty-one (21) years of age or older at the time or entry or eighteen (18) years or age or older with a valid medical marijuana card in the State of Maryland at the time of entry (“participant”, “entrant”, or “you”).

Employees, officers, directors, agents, or representatives, of the Sponsor, Administrator, their respective parent companies and their respective subsidiaries, affiliates, suppliers of prizes, advertising and promotion agencies involved in the administration, development, fulfillment, and execution of this Sweepstakes (collectively, the “Sweepstakes Parties”), and the immediate family (spouse, parents, siblings and children) of, and/or those living in the same household of each, are not eligible to enter.

The Sweepstakes is subject to all applicable federal, state, territorial, municipal and local laws and regulations. If it is found that a person who does not meet the eligibility criteria set forth in these rules has submitted an entry, that entry will be deemed ineligible. Sponsor reserves the right to verify eligibility requirements. Void outside the State of Maryland and where prohibited by law.

3.  Sweepstakes Period

The Sweepstakes begins at 12:00:01 AM Eastern Time (“ET”) on April 17, 2025 and ends at 11:59:59 PM ET on April 20, 2025 (the “Sweepstakes Period”). Sponsor’s database clock will be the official timekeeper for this Sweepstakes.

4. How to Enter

There are two (2) ways to enter the Sweepstakes:

i)             In Store Entry:

Visit any The Apothecarium Dispensary retail store in the State of Maryland, make any applicable purchase (as defined below), fill out the Sweepstakes entry form online, confirm your agreement to opt-in to email and SMS marketing communications from the Sponsor, and confirm and that you have read and agree to these Official Rules and the Sponsor’s Privacy Policy. An applicable purchase is defined as a purchase of any amount, there is no minimum purchase required.

ii)           Alternate Method of Entry – Mail In Entry 

Download the Mail-In Entry form at https://apothecarium.com/blog/420-10k-giveaway-in-maryland-mail-in-form/. Print and fill out the Mail-In Entry form. The Mail-in Entry form will require you to provide your first name, last name, full mailing address (street address, city, state, and ZIP code), email address, phone number, and date of birth, and confirm your agreement to the Official Rules and the Sponsor’s Privacy Policy. After filling out the Mail-In entry form, insert it into a #10 size envelope and mail it, with sufficient postage to: The Apothecarium 420 Payday Sweepstakes, c/o RAVEN5 Ltd., 1400 W. Lombard St Ste A Unit 2112, Baltimore, Maryland, 21223, United States. Entrants will receive one (1) entry into the Sweepstakes for a valid Mail-In Entry.

Please note: A Mail-In Entry and the outer mailing envelope must be handwritten, legible and include all requested information (as stated above) to be considered eligible. Only one (1) Mail-In Entry per mailing envelope will be accepted. Bulk shipments (multiple Mail-In Entries in one shipping package) will not be accepted and will be destroyed. Mail-In Entries must be postmarked by April 20, 2025, and received by April 24, 2025. Mail-In Entries will be considered submitted on the postmarked date.

Mail-In Entries become the property of the Sponsor and will not be acknowledged or returned. Requests for confirmation of receipt of mail-in entries will not be acknowledged. No photocopies, facsimiles or reproductions of Mail-In Entries will be accepted. Sponsor is not responsible for late, lost, damaged, stolen, incomplete, illegible, postage due, or misdirected entries. Proof of mailing does not constitute proof of delivery.

There is a limit of one (1) entry into the Sweepstakes per person, per day, regardless of entry method used. Total limit of four (4) entries per person during the Sweepstakes Period.

By participating in the Sweepstakes, you signify your agreement to these Official Rules and the Sponsor’s Privacy Policy, available at https://apothecarium.com/privacy-policy/. Sweepstakes Parties are not responsible for lost, late, stolen, incomplete, inaccurate, invalid, un-intelligible, garbled, delayed or misdirected entries, all of which will be void. Entries which are incomplete, illegible, or fraudulent are null and void.

5. Prizes/Approximate Retail Value (“ARV”)/Odds

One (1) grand prize is available to be won, consisting of $10,000.00 USD in Visa gift cards (the “Grand Prize”). The ARV the Grand Prize is $10,000.00 USD.

The odds of winning will depend on the total number of eligible entries received during the Sweepstakes Period.

Prize Conditions:

Gift cards are subject to the terms and conditions imposed by the issuer. All terms, conditions, and restrictions applicable to the awarding and redemption of a gift card that appear on the face of the card or are otherwise provided with the applicable prize (including, by link to online terms) will apply. No substitution of a prize will be allowed, except as listed herein. Sponsor reserves the right, in its sole discretion, to substitute prize(s) of comparable value if the listed prize is unavailable, in whole or in part, for any reason. The Grand Prize is non-transferable. In accepting a prize, the winner is responsible for all federal, state, county, local and all other taxes (including income and withholding, where applicable) on the prize awarded and any costs and expenses not specifically listed above as part of a prize. The winner must be able to accept the prize as presented, or the prize will be forfeited in its entirety and awarded to an alternate winner (to be determined in a separate random drawing in accordance with these Official Rules).

6. Winner Selection & Notification

Administrator will select the potential winner in a random drawing conducted at Administrator’s offices on or about April 28, 2025. One (1) potential winner will be selected from among all eligible entries received during the Sweepstakes Period. The potential winner will be contacted by the Administrator by email using the email address provided by the potential winner at the time of entry. Administrator will make a minimum of two (2) attempts to contact the potential winner within forty-eight (48) hours of the drawing.

If the potential winner cannot be contacted within seventy-two (72) hours of initial notification, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Administrator, be disqualified (and, if disqualified, will forfeit any and all rights to the prize) and the Administrator reserves the right to randomly select an alternate eligible entrant for the prize in a separate random drawing from the remaining eligible entries submitted and received in accordance with these Official Rules.

Additional Requirements to Win: The potential winner will become a confirmed winner (a “Winner”) after meeting the requirements that follow. Failure to do so will result in disqualification and an alternate winner will be selected by the means set forth above.

The potential winner will be required to sign and return, within seventy-two (72) hours of initial notification, an Affidavit of Eligibility & Liability / Publicity Release form and an IRS W-9 tax form (collectively, the “Releases”). Please note: The IRS W-9 tax form will require the potential winner to disclose additional personal information, including a social security number. Information from the IRS W-9 tax form will only be used to fulfill Sponsor’s tax obligations in connection with this Sweepstakes and for no other purpose.

In addition, the potential winner may be required to provide proof of age in the form of a valid, government-issued ID and, if applicable, proof that the individual possesses a valid medical marijuana card in the State of Maryland.

No one is a Winner unless and until the Sponsor officially confirms him/her as a Winner in accordance with these Official Rules.

7. Publicity

Except where prohibited by law, and pursuant to signed Releases (as described above), entry into the Sweepstakes and acceptance of a prize constitutes permission to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, the Winner’s name, city, state of residence, and prize won, as news, publicity or information and for advertising, public relations and promotional purposes without limitation and without additional compensation, notification or permission.

Sponsor reserves the right to use any and all information related to the Sweepstakes for promotional, marketing and any other purpose, including online announcements unless prohibited by law.

8. Limitation of Liability

By participating in the Sweepstakes and as a condition of acceptance of a prize, each entrant his/her heirs, executors, administrators and assigns, releases, waives, discharges, and holds harmless the Sponsor, the Administrator, their respective parent companies and their respective subsidiaries, affiliates, suppliers of prizes, advertising and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes, (collectively, the “Released Parties”) from, and against any and all loses, damages, rights, claims, actions, causes of action, personal injury, property damage or death (including without limitation any and all costs and liabilities of any kind including but not limited to lawyer’s fees), and including, without limitation, any such arising from any act of negligence of the Released Parties, that the entrant now has, or may hereafter have against the Released Parties directly or indirectly resulting from participation in the Sweepstakes or the awarding, acceptance, use, or misuse of a prize. Entrants assume all liability for any injury or damage caused or claimed to be caused by participation in this Sweepstakes or use/misuse or redemption of a prize.

9. General

By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and Administrator, which are final and binding in all matters relating to the Sweepstakes.

Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. The Released Parties are not responsible for: (i) lost, late, misdirected or damaged entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to Participant’s or any other person’s computer related to or resulting from participating in the Sweepstakes.

Failure to comply with these Official Rules will result in disqualification from the Sweepstakes. Sponsor reserves the right to permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated these Official Rules. If for any reason this Sweepstakes is not capable of running as planned due to any causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes, at which time, Sponsor will conduct a random drawing from among all eligible entries received at the time of the Sweepstakes termination.

10. Disputes

Except where prohibited, Participants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Maryland, USA, and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Maryland, without giving effect to any choice of law or conflict of law rules (whether of the State of Maryland or any other jurisdiction), which would cause the application of the laws of any jurisdiction. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

11. Privacy

Personal information collected from Participants is subject to the Sponsor’s Privacy Policy, available at: https://apothecarium.com/privacy-policy/.

In addition, any personal information that you provide may be used in connection with the Sweepstakes as necessary, to administer, manage and operate the Sweepstakes (including coordinating and fulfilling the prizes and releasing a list of winners, as discussed below) and otherwise as permitted in our privacy policy referred to above.

Personal information collected will be stored on servers located in the United States and may be accessible to U.S. law enforcement, courts and other governmental institutions pursuant to the laws of the United States.

12. Winner List Requests

For a written confirmation of the Winner (available after May 5, 2025), send an email to help@raven5.com with subject line: The Apothecarium 420 Payday Sweepstakes Winner List Request. All requests must be received by July 4, 2025 at 4:59:59 PM ET. Requests received after this time will not be fulfilled.
